Joseph is Co-Managing Partner of CLMGK and practices in the areas of real estate, general corporate and business transactions, healthcare, and mergers and acquisitions.
Joseph has extensive experience representing owners, investors, landlords, tenants, lenders and borrowers in all types of commercial real estate transactions, including acquisition, disposition, leasing, construction, development, joint ventures, preferred equity, construction and mezzanine loans, CMBS loans, restructuring of mortgage and mezzanine debt, and other credit facilities secured by single or multi-property portfolios of all commercial asset classes.
Joseph regularly counsels physicians, physician practice groups, and other professional and non-professional entities regarding their practice development and general business matters, regulatory compliance, and the acquisition and sale of professional practices, assets and/or ownership interests. Joseph drafts and negotiates the various documents applicable to such transactions, including, but not limited to, employment agreements, asset, stock and membership sale and purchase agreements, management agreements, and loan documents.
Joseph represents corporate clients in all types of transactions, including mergers and acquisitions, asset based and receivables financing and loans, venture capital investment and finance, negotiation and drafting of partnership, shareholder and operating agreements, independent contractor agreements, employment agreements and other various agreements, as well as providing general corporate counseling to businesses and ventures.
Joseph is a member of the New York State Bar Association and also served as an officer and on the Board of his Synagogue for a number of years. Joseph lives with his wife and children in Nassau County.
